Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Recon Rev Pty Ltd ("we," "our," or "us"), the developer and operator of the Recon Rev platform and mobile applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you are entering into these Terms on behalf of a dealership, vendor, or other business entity, you represent that you have the authority to bind that entity to these Terms. In such cases, "you" refers to that entity.

Description of Services

Recon Rev is a comprehensive platform designed to streamline vehicle reconditioning processes for automotive dealerships. Our Services include:

• Vehicle inventory management and tracking systems
• Vendor marketplace for reconditioning services
• Work order creation, management, and tracking
• Quote generation and approval workflows
• Real-time communication and chat features
• Mobile applications for iOS and Android platforms
• Transport coordination and tracking
• Photo documentation and media management
• Reporting and analytics tools

Eligibility and Account Registration

Age and Business Requirements

You must be at least 18 years old and have the legal capacity to enter into contracts. Our Services are intended exclusively for business use by automotive dealerships, reconditioning service vendors, and their authorized employees.

Account Information

When registering for our Services, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your account information as necessary
• Maintain the security of your login credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access or security breaches

Business Verification

We reserve the right to verify your business credentials and may require additional documentation to confirm your eligibility to use our Services. Accounts that cannot be verified may be suspended or terminated.

User Responsibilities and Acceptable Use

Prohibited Activities

You agree not to use our Services to:

• Violate any applicable laws, regulations, or third-party rights
• Upload false, misleading, or fraudulent information
• Impersonate any person or entity
• Interfere with or disrupt our Services or servers
• Attempt to gain unauthorized access to our systems
• Use automated systems to access our Services without permission
• Harvest or collect user information without consent
• Engage in any form of harassment or abusive behavior

Vehicle and Service Information

When using our platform, you are responsible for ensuring that all vehicle information, VIN numbers, service descriptions, and pricing data you provide is accurate and up-to-date. Inaccurate information may affect service delivery and business relationships.

Professional Conduct

As our platform facilitates business-to-business transactions, you agree to maintain professional standards in all communications and transactions conducted through our Services.

Business Relationships and Transactions

Dealership-Vendor Relationships

Recon Rev serves as a platform to connect dealerships with service vendors. We facilitate communication and workflow management but are not a party to the actual service agreements between dealerships and vendors.

Independent Contractor Status

Vendors using our platform are independent contractors. Recon Rev does not employ vendors, control their work methods, or assume responsibility for their actions, quality of work, or compliance with regulations.

Payment and Financial Terms

All financial transactions between dealerships and vendors are conducted independently of our platform. Recon Rev does not process payments, provide payment guarantees, or assume liability for payment disputes.

Service Quality and Disputes

While we strive to maintain high standards for vendors on our platform, we do not guarantee the quality of services provided. Any disputes regarding service quality, pricing, or delivery should be resolved directly between the involved parties.

Mobile Application Terms

Device Requirements and Permissions

Our mobile applications require certain device permissions including:

• Camera access for vehicle documentation and inspection photos
• Storage access for media and document management
• Push notification permissions for real-time updates
• Network access for data synchronization

Offline Functionality

Our application provides offline functionality to ensure business continuity. Data entered offline will be synchronized when connectivity is restored. You are responsible for ensuring data accuracy during offline usage.

App Store Terms

Downloads and use of our mobile applications are also subject to the terms and conditions of the applicable app store (Apple App Store, Google Play Store).

Intellectual Property Rights

Our Intellectual Property

The Recon Rev platform, including all software, designs, graphics, text, and other content, is owned by Recon Rev Pty Ltd and protected by intellectual property laws. You are granted a limited, non-exclusive license to use our Services for their intended business purposes.

User-Generated Content

You retain ownership of content you upload (vehicle photos, documents, etc.) but grant us a license to use, store, and display this content for the purpose of providing our Services. You represent that you have the right to upload and share such content.

Trademark Usage

Vehicle manufacturer names, logos, and trademarks remain the property of their respective owners. Use of such marks in our platform is for identification purposes only and does not imply endorsement or affiliation.

Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal and business data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

Service Availability and Modifications

Service Availability

While we strive to maintain continuous service availability, we do not guarantee uninterrupted access to our platform. Scheduled maintenance, updates, or unexpected technical issues may cause temporary service disruptions.

Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time. We will provide reasonable notice of significant changes that may materially affect your use of the Services.

Software Updates

Our mobile applications may receive automatic updates to improve functionality, security, and performance. Continued use of our Services constitutes acceptance of such updates.

Fees and Payment Terms

Subscription Fees

Access to certain features of our Services may require payment of subscription fees. All fees are non-refundable unless otherwise specified. We reserve the right to modify our pricing with appropriate notice.

Late Payments

Indemnification

You agree to indemnify and hold harmless Recon Rev Pty Ltd, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our Services, violation of these Terms, or infringement of any third-party rights.

Termination

Termination by You

You may terminate your account at any time by contacting our support team. Upon termination, your access to the Services will cease, but these Terms will continue to apply to prior use.

Termination by Us

We may terminate or suspend your account if you:

• Violate these Terms or our acceptable use policies
• Fail to pay applicable fees
• Engage in fraudulent or illegal activities
• Pose a security risk to our platform or other users

Effect of Termination

Upon termination, we may delete your account data after a reasonable period. You are responsible for exporting any data you wish to retain before termination.

Governing Law and Dispute Resolution

Governing Law

These Terms are governed by the laws of South Africa, without regard to conflict of law principles. Any legal proceedings must be brought in the courts of South Africa.

Before initiating legal proceedings, we encourage you to contact us to resolve any disputes informally. We are committed to working with our users to address concerns and find mutually acceptable solutions.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Recon Rev Pty Ltd regarding the use of our Services and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Assignment

You may not assign your rights under these Terms without our written consent. We may assign our rights and obligations to any party without restriction.

No Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Updates to Terms

We may update these Terms periodically to reflect changes in our Services, legal requirements, or business practices. The date at the top indicates when the Terms were last revised. Significant changes will be communicated through our platform or via email.

Continued use of our Services after any changes constitutes acceptance of the updated Terms. If you do not agree with any changes, you must discontinue using our Services.
